Contract signing on behalf of company

Hi,

Could someone assist me to set the Rent Now for the Contract to sign on behalf of my Property company.
I have a flat which is owned by the Company (I’m the only Director). I used Rent Now to draft the contract which is now ready to sign. What I’m struggling with it is when Signing the contract I have to write my company name as signature but I should be writing my name on behalf of the Company.
To put my name I need to change the OpenRent profile name to my name but then it changes the Contract to my name not the company name.

I tried to explain the situation not sure if easy to digest but if someone has faced this may get it.

Any pointers will be appreciated.

When you create the contract (ie before sending to tenant to sign) there is a field to fill-in entitled something like ‘signing on behalf of’. Can’t remember if this is in advanced settings or not, but it is easy to use.

Company law requires the signature of either 2 directors or the director and company secretary on legal documents.

The issue is; on behalf of will work if I have my profile set under Personal Name. And when I do that it changes the Schedule to reflect the contract under my name which is incorrect.
I need company name on the schedule and my name as the signature which I can sign on behalf of my company.

Yes, I’m the only one but name appearing on top of the page and the bottom of the page needs to be different.
Signing the agreement forces to use Profile Name as a signatory. I can’t use my name.

I believe its a legal requirement to have a company secretary, so Im sure you must have nominated someone.

My understanding is that it may not make a huge difference in relation to the contract itself, but it will with regard to the other documents you serve, such as the deposit PI or a tenant notice. See the case of Northwood Solihull v Fearn & Others.

That what I do all this time “[my name] singing on behalf of [company name]”. The field is there to do this when you generate the contract.

My OpenRent profile is in my personal name, but those AST I sign where the property is owned by my Ltd Company, rather than me personally, I simply add the [Ltd Company name] in the single field which is entitled something to the effect of ‘Signing on behalf of’.

Have just checked one of these AST contracts, and it shows Landlord as [my name] on behalf of [company name] Limited.

I assume when you say ‘schedule’, you mean the AST contract, but you might clarify in case I have misunderstood.

I’m the Sole Director of my Ltd Company. No Company Secretary

My apologies. It seems my knowledge is out of date. There is no longer a requirement to have a company secretary and if there is also only one Director, they can sign documents on their own. The issue of two people needing to sign only applies if there is at least one separate Director or comp sec.

I am having the same issue and just want to clarify if there is a way for the top section where it summarises the tenancy to show just the company name under the “landlord” section rather than “[my name] on behalf of [company name]” but still keep the signature area as “[my name] on behalf of the [company name]” rather than just the company name.

This should be as simple as having a section for the landlords name and seperately the signatories name.

At the moment, page 3 of the tenancy that lists out the particulars shows landlord as “[my name] on behalf of [company name]” when it should just say the company name. Whilst I am signing on behalf of the company, the way this section is presented suggests that I am the landlord when I’d like it to show the the company is the landlord with no mention of my name until the signature box.

Does anyone know if this is possible?

I personally don’t see the issue. Its clear that you are signing on behalf of the company. The company cannot sign itself.

Yes agreed that the company cannot sign for itself and my name in the signature section on the last page to say I am signing on behalf of the company is totally fine. What I don’t like is that on page 3, immediately after “Landlord:” it shows “[my personal name], on behalf of [company name]” which can suggest I am the landlord on behalf of the company when in fact I’m a signatory on behalf of the company.
